These Terms and Conditions ("Terms") govern your use of the Inovada website (inovada.com) and the services provided by Inovada ("we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
1.1 Scope of Services
Inovada provides Odoo ERP consultancy services to Irish SMEs, including but not limited to:
- Odoo implementation and configuration
- Odoo customization and development
- Odoo training and user support
- Ongoing support and Annual Maintenance Contracts (AMC)
- Odoo optimization and process improvement
1.2 Service Agreements
Specific services will be detailed in separate Service Agreements or Statements of Work (SOW) that reference these Terms. In case of conflict between these Terms and a Service Agreement, the Service Agreement prevails.
2. Client Obligations
Clients engaging our services agree to:
- Provide accurate and complete information required for service delivery
- Grant timely access to systems, data, and personnel as needed
- Designate a project contact person with decision-making authority
- Review and approve deliverables within agreed timeframes
- Maintain appropriate backups of their data
- Comply with Odoo licensing terms and conditions
3. Fees and Payment
3.1 Pricing
Service fees will be specified in the relevant Service Agreement or SOW. Fees may be based on:
- Fixed project pricing
- Time and materials (hourly or daily rates)
- Monthly retainer or AMC fees
- Odoo subscription licenses (passed through at cost)
3.2 Payment Terms
Unless otherwise specified in a Service Agreement:
- Invoices are payable within 14 days of invoice date
- Implementation projects may require deposits or milestone payments
- AMC fees are typically invoiced annually in advance
- Late payments may incur interest at 2% per month
3.3 Expenses
Reasonable expenses (travel, accommodation) incurred in delivering services will be invoiced separately unless included in fixed pricing.
4. Intellectual Property
4.1 Client Data
All client data, business processes, and confidential information remain the property of the client. We do not claim ownership of client data.
4.2 Odoo Software
Odoo software is licensed under the GNU LGPL v3 (Community Edition) or Odoo Enterprise License. Clients must comply with applicable Odoo licensing terms.
4.3 Custom Development
Custom modules and developments created specifically for a client become the property of that client upon full payment, unless otherwise agreed in writing.
4.4 Inovada IP
Our methodologies, templates, tools, and pre-existing intellectual property remain our property.
5. Confidentiality
Both parties agree to:
- Maintain confidentiality of proprietary information disclosed during the engagement
- Use confidential information only for purposes of the engagement
- Protect confidential information with the same care as their own confidential information
- Return or destroy confidential information upon request or termination of services
Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from third parties.
6. Data Protection and Privacy
We process personal data in accordance with GDPR and Irish data protection laws. Our Privacy Policy explains how we collect, use, and protect your data.
When providing services, we act as a data processor on behalf of clients. Clients remain the data controller responsible for ensuring lawful processing of personal data within Odoo systems.
7. Warranties and Disclaimers
7.1 Service Warranty
We warrant that services will be performed with reasonable skill and care consistent with industry standards.
7.2 Software Disclaimer
Odoo software is provided by Odoo S.A. We do not warrant the Odoo software itself but will use reasonable efforts to implement and configure it appropriately.
7.3 No Guarantee of Results
While we strive for successful outcomes, we cannot guarantee specific business results, ROI, or performance improvements from Odoo implementation.
8. Limitation of Liability
To the maximum extent permitted by Irish law:
- Our total liability for any claim arising from services shall not exceed the fees paid for those specific services in the 12 months preceding the claim
- We are not liable for indirect, consequential, or incidental damages including lost profits, lost data, or business interruption
- We are not liable for issues arising from client's failure to maintain backups, follow recommendations, or comply with Odoo licensing
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or other liabilities that cannot be excluded under Irish law.
9. Term and Termination
9.1 Term
These Terms remain in effect for the duration of our business relationship with you.
9.2 Termination for Convenience
Either party may terminate ongoing services (e.g., AMC) with 30 days' written notice. Fixed-term projects cannot be terminated without mutual agreement unless for cause.
9.3 Termination for Cause
Either party may terminate immediately if the other party:
- Materially breaches these Terms and fails to remedy within 14 days of written notice
- Becomes insolvent or enters liquidation
- Engages in fraudulent or illegal activity
9.4 Effect of Termination
Upon termination:
- Client must pay for all services rendered up to termination date
- We will return or destroy client confidential information as requested
- Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination
10. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet/telecommunications failures.
11. Independent Contractor
Inovada is an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship between the parties.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.
13. Dispute Resolution
In the event of a dispute, parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, parties may pursue mediation before initiating legal proceedings.
14. Amendments
We reserve the right to update these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with any Service Agreements or SOWs, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
